Terms of Service

These Terms of Service ("Terms") govern your use of Dale and related software products and services provided by The MVM Group LLC ("we," "us," or "our"), including client portals, project management tools, communication services, and payment processing platforms (collectively, the "Services"). By accessing or using our Services, you agree to these Terms.

1. Services Description

The MVM Group LLC provides Dale, a software-as-a-service platform for custom home builders, general contractors, and their subcontractors and clients. Our Services include client portals for project tracking and selections, automated SMS and MMS messaging for project coordination and scheduling, payment processing for draws, invoices, and rent collection, and property and rental management tools.

2. Account Registration and Use

Some features of our Services require an account. You agree to provide accurate and complete information when creating an account and to keep that information up to date. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

3. SMS and Text Messaging Terms

Dale enables general contractors to send project-related SMS and MMS messages to subcontractors, clients, and other parties involved in construction projects. By providing your phone number to a general contractor who uses Dale, you consent to receive project-related text messages.

Message types: Scheduling notifications, project updates, phase completion alerts, follow-up reminders, and related construction project communications.

Message frequency: Varies based on project activity. Typically 2-10 messages per week during active project phases.

Costs: Message and data rates may apply depending on your mobile carrier and plan.

Opt-out: You may opt out at any time by replying STOP to any message. You will receive a confirmation and no further messages will be sent. Opting out of SMS does not terminate your relationship with the general contractor.

We do not charge for SMS messages sent through Dale, but standard carrier rates apply. We are not responsible for charges from your mobile carrier.

4. Acceptable Use

You agree not to use our Services to violate any applicable law or regulation, send unsolicited commercial messages or spam, impersonate another person or entity, interfere with or disrupt the integrity or performance of our Services, or attempt to gain unauthorized access to our systems or other users' accounts.

5. Intellectual Property

All content, features, and functionality of our Services — including software, text, graphics, logos, and design — are owned by The MVM Group LLC and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our Services without our written permission.

6. Payment Terms

If you use our payment processing features, you agree to pay all fees and charges associated with your account. Payment processing is handled by third-party providers (such as Stripe) and is subject to their terms of service. We are not responsible for errors or delays caused by payment processors.

7. Data and Privacy

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using our Services, you consent to the data practices described in our Privacy Policy.

8. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our Services will be uninterrupted, error-free, or secure. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, The MVM Group LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunity, arising out of or in connection with your use of our Services, regardless of the theory of liability.

10. Indemnification

You agree to indemnify and hold harmless The MVM Group LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our Services or violation of these Terms.

11. Termination

We may suspend or terminate your access to our Services at any time for any reason, including violation of these Terms. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination will survive.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Cobb County, Georgia.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of our Services after changes are posted constitutes acceptance of the updated Terms.
